Terms of Service

These Terms of Service ("Terms") govern your access to and use of the OMG IQ website and quality platform (the "Service"). By creating an account or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization ("Customer", "you").

1. The Service

OMG IQ is a quality command center where humans and AI agents capture, triage, and resolve software quality findings, ingest test runs, and connect to your development tools. We may update, improve, or change features over time.

2. Accounts

• You must provide accurate information and keep your account secure. Sign-in is passwordless (a one-time emailed code); you are responsible for activity under your account and for your team members' and agents' use.
• You must be at least 16 years old and use the Service for business purposes.
• API keys and agents. You are responsible for keys you issue and for actions taken by AI agents you authorize. Keys are project-scoped by default; you control their scopes and governance (read-only, approval, or autonomous).

3. Subscriptions, trials, and billing

• Paid plans are billed in advance on a recurring basis through our payment processors (Stripe, Paddle, or PayPal). New organizations may start with a 14-day free trial.
• Subscriptions renew automatically for the same term unless cancelled before renewal. Fees are non-refundable except where required by law.
• You are responsible for applicable taxes. We may change pricing with prior notice effective at your next renewal.
• Non-payment may result in suspension or downgrade.

4. Acceptable use

You agree not to:

• Use the Service unlawfully or to infringe others' rights;
• Upload malware, or attempt to breach, probe, or disrupt the Service or its isolation between organizations;
• Reverse engineer, resell, or provide the Service to third parties except as permitted;
• Exceed documented rate limits or circumvent agent-governance controls;
• Use the Service to store data you are not permitted to process.

5. Customer data and content

• You own your content. As between the parties, you retain all rights to the projects, findings, evidence, and other data you submit ("Customer Data").
• You grant OMG IQ a limited license to host, process, and transmit Customer Data solely to provide and support the Service and as instructed by you. Our processing of personal data is governed by the Privacy Policy and the DPA.
• We do not use Customer Data to train third-party AI models.
• You are responsible for the lawfulness of Customer Data and for obtaining any necessary rights and consents.

6. Intellectual property

The Service, including its software, design, and documentation, is owned by OMG IQ and protected by intellectual-property laws. These Terms grant you a non-exclusive, non-transferable right to use the Service during your subscription. Feedback you provide may be used by us without obligation.

7. Third-party integrations

Integrations (GitHub, Jira, GitLab, Azure DevOps, Slack, and others) are provided by third parties under their own terms. We are not responsible for third-party services, and your use of them is at your own risk.

8. Confidentiality

Each party will protect the other's non-public information disclosed in connection with the Service with reasonable care and use it only to perform under these Terms.

9. Warranties and disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free. OMG IQ assists with quality work but does not replace your own testing, review, and release decisions.

10. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from the Service. Our aggregate liability for any claim is limited to the fees you paid for the Service in the 12 months before the event giving rise to the claim.

11. Indemnification

You will defend and indemnify OMG IQ against third-party claims arising from your Customer Data or your use of the Service in violation of these Terms, to the extent permitted by law.

12. Term, suspension, and termination

• These Terms apply while you use the Service. Either party may terminate a subscription at the end of the then-current term; you may cancel at any time, effective at period end.
• We may suspend access for non-payment, security risk, or material breach, and will aim to give notice where practicable.
• On termination, you may export your data within a defined window, after which it is deleted per the Privacy Policy.

13. Changes to these Terms

We may update these Terms. Material changes will be posted here with a new "Last updated" date and, where appropriate, notified by email. Continued use after changes take effect constitutes acceptance.

14. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which OMG IQ is established, without regard to conflict-of-laws rules, and disputes are subject to the exclusive jurisdiction of its competent courts, unless a mandatory consumer or local law provides otherwise.

15. General

These Terms, together with the Privacy Policy and DPA, are the entire agreement between the parties regarding the Service. If any provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. Notices to OMG IQ may be sent to [email protected].
